Try this way

cd to c:/tmp/mysql/mysql-5.1.39-win32/bin

and invoked the command:(leave the window open as it is)

mysqld --defaults-file=../my.ini

orelse.. you can create the service and then go for NET START MySQL instead
of each time running above commands
# need to provide abs path for my.ini

mysqld --defaults-file=../my.ini --install
